General Services

General Services arrangements establish frameworks for working relationships between customer and service provider over an extended period of time. These arrangements usually allow for a considerable variance in scope of work definitions but follow a standard set of management principles. These agreements are usually characterized by separate exhibits defining the scope of work, deliverables, schedule/completion dates, customer/vendor responsibilities, fee schedule and deposit requirements. These references are incorporated into a standard set of terms covering work performance, payment, warranties, intellectual property, termination and, where applicable, government regulation (e.g. FARs). The challenge is to incorporate materials typically prepared by project management and marketing personnel into the contract without undue legal risk.
