Form Overview
The Software License favoring the licensor grants a very restrictive license for use of the software, as narrowly defined. The definition of the term software is limited to executable code, thereby excluding source code by omission. The definition is also related to a specific delivery date, thereby requiring additional modules, updates and changes to be separately licensed. The license grant is non-transferable and limited to a single computer. The computer is defined in a referenced exhibit (not included) and can be limited to a single model, serial number or type as negotiated between the parties. The acceptance period is thirty days and requires the licensee to define in writing the reasons for declining acceptance before the end of the acceptance period. The license fee is paid in two installments: one-half at the signing of the agreement and the balance as of the acceptance date. The Agreement documents a limited source code escrow obligation and requires the licensee to allow software demonstrations at its location.
