The Confidentiality Agreement for receiving parties imposes lenient confidentiality obligations on the receiving party and should be favored if you are receiving (but not disclosing) confidential information under the agreement. The definition of confidential information requires a supplemental written notice which should be negotiated to narrowly and precisely define the confidential information, thereby minimizing ambiguity concerning what is (and what is not) confidential. The obligation of confidentiality requires only ordinary care and there is no reference to trade secret status. The definition of "authorized persons" allows the receiving party to exercise some independent judgment in making disclosures. An employee pirating provision is imposed on the disclosing party.
