The Reciprocal Confidentiality Agreement balances the tension between minimizing your confidentiality obligations as a recipient of confidential information with your right to protect confidential information disclosed by you under the agreement. The confidential information must be defined as such in writing at the time of disclosure. Both parties acknowledge the ownership rights of the other party. Development of adaptations based upon technology disclosed under the agreement is expressly prohibited. Both parties accept employee pirating restrictions.
