Form Overview
The Patent Technology License establishes a framework for controlling the marketing of patented technology through ownership of related patents. The agreement heavily favors the patent owner and establishes stringent marketing requirements on the licensee with responsibility to promote the patented product and technology. The agreement documents a royalty payment to the licensor as the patent owner. The agreement distinguishes between licensing the patented technology (i.e. know-how) to sublicenses (for purposes of producing products) and sales of product produced using the patented technology and sold to consumers directly by licensee. Article V of the agreement addresses patent prosecution issues. The document is complex and includes several supplemental exhibits that will require considerable study to fully absorb.
