Form Overview
The Contractor Employment Agreement provides a framework for hiring the professional employee who will provide services to the client of employer on behalf of employer. The résumé of the employee is referenced as an exhibit (not included) and serves as an employee representation of his or her experience and qualifications. Services are broadly defined to include employer discretion. Written reports on work progress are required, and all deliverable schedules must be met. Employer discretion in selecting clients to receive services is documented, and an obligation to honor employer ethical and professional standards is referenced. The term of the agreement is annual with automatic renewal. The compensation term outlines salary and bonus frameworks and requires employee time sheets. Strict employee pirating, customer non-solicitation and noncompete terms apply. Ownership of all intellectual property accrues to employer (as may be conveyed to client).
