Form Overview
The Agency Proposal Agreement documents a framework between Vendor and Agent empowering the Agent to develop and submit proposals for use of Vendor technology to target customers. The Agreement contemplates an arrangement under which the customer purchases technology rights and services from Vendor, with supplemental services provided to Customer by Agent. Under the Agreement, the Agent has lead responsibility for the Proposal, although Vendor retains approval rights. The Agreement includes a provision excluding target territories from the scope of the agency. These territories can be geographic locations or agencies reserved to Vendor or another agent. The Agreement requires use of Vendor's trademark and Marketing Materials, with advertising also subject to Vendor approval. Agent is required to report on marketing and sales activities. The Agreement does not document payment of a Fee to Agent by Vendor since all compensation to Vendor and Agent is covered under the Proposal.
