The Standard Referral Agreement addresses the typical key issues between vendor and agent in a referral relationship. The scope of the agency is non-exclusive, and limited to distribution of marketing materials (as provided by vendor) to target customers. (A special "demonstration copy" of the software is licensed to the agent for purposes of demonstrating the technology to the potential customer after certification by vendor). The marketing fee is paid to the agent contingent upon vendor receipt of the license fee under agreements signed by vendor and customer. The agent has two reporting obligations - one focused on marketing activities and a second obligation to document actual sales. Conflicts between agents who have contacted the same target and related marketing fee issues are expressly resolved by vendor. The Agreement includes language prohibiting misrepresentations and imposing traditional confidentiality, noncompete and intellectual property restrictions.
