The Standard Agency Agreement addresses the typical issues arising between agent and vendor in the technology agency relationship. The scope of the agency is non-exclusive and restricted to a particular territory. The agent has the right to promote the technology using vendor marketing materials. A best efforts obligation is imposed on the agent, along with advertising restrictions and certain trademark use requirements. Although the agent is protected from competition within its territory, the vendor also reserves the right to conduct independent marketing in the same territory. The Agreement requires a guaranteed minimum number of sales. The vendor commits to provide certain training and support services at its own expense.
