Form Overview
The Dealer Agreement is a two-party Agreement under which vendor grants principal the authority to establish agents who market the technology. The Agreement specifies the precise terms of the grant by principal in a pre-defined agreement between principal and agent (not included). Such agents are allocated territories and principal guarantees their obligations and responsibilities under their respective agency agreements. The principal also enjoys direct marketing rights and can choose (or not) to appoint agents. Principal is required to report on the number of agents solicited as well as technology product marketing and sales activity. Standard confidentiality, warranty limitations and restrictions on misrepresentations apply. The marketing fee is paid by vendor to principal based upon product license fees.
