The Agency/Referral Agreement documents a relationship framework between Agent and Vendor that incentivizes casual referrals as well as Agency sales leadership. An Agent Fee requires Agent leadership in closing a sale which is determined by the level of Vendor support required in the marketing effort targeted at a particular customer. More than deminimus Vendor involvement results in a lower fee ("Referral Fee"). Territorial exclusivity is maintained by meeting a guaranteed minimum number of quarterly sales. Customer "ownership" by the Agent requires initial contact by the Agent using marketing materials provided by Vendor. Agent is required to report marketing activities and sales. The right of the Agent to demonstrate the technology is subject to Vendor certification. Fees are paid by Vendor from technology licensing income as received.
