Dealer arrangements with their respective agents derive from agency authority granted to the dealer by the vendor (or developer). The terms of an agent's relationship with a dealer (as a principal authorized by vendor) will usually be dictated by the vendor's contract with the principal. The dealer (i.e. principal) will typically not own the technology. The document between the principal and agent is often drafted by the vendor for use by the principal and contains confidentiality, intellectual property as well as indemnification and warranty terms designed to protect the vendor. For purposes of increasing vendor control over the agent, the dealer contract may be (albeit not always) a three-party agreement between principal, vendor and agent.
