Form Overview
The Contractor Agreement establishes a framework allowing the Contractor to engage a Subcontractor to provide services to the Clients of Contractor. The Scope of Subcontractor Services is general and subject to Contractor discretion. Management reports and timesheets are subject to Contractor approval. Subcontractor certifies his or her statement of qualifications. Invoices are time and material, and subject to Contractor approval. The Agreement prohibits Employee pirating, Customer solicitations and requires Subcontractor compliance in Contractor guidelines. Intellectual property is owned by Contractor, with an exclusion for copyrights, trademarks, tradesecrets and patents owned by Subcontractor at the time of engagement (as listed in an Exhibit B).
