Form Overview
The Stock Purchase Agreement provides a framework for selling shares of stock to a buyer. Buyer also receives an option to purchase more stock of the corporation in the future. The seller is the corporation issuing the shares. The immediate purchase of shares occurs at a specified closing date. The option is exercisable over an option period negotiated between the parties. The option is exercised by executing a Stock Purchase Addendum, the form of which is attached as an exhibit (included). The Agreement documents the percentage ownership of the buyer pursuant to the transaction and sets forth various corporate representations. The document heavily favors buyer and does not include many of the traditional disclaimers desired by most sellers in completing a stock issuance.
