Form Overview
The Software License for multiple parties grants the buyer ("corporation") the right to add "affiliates" to the agreement, thereby allowing licenses to issue to such "affiliates." The arrangement envisions "affiliates" as separate legal entities. The framework for establishing each affiliate license is the option agreement, the form of which is included as an exhibit (included). The option agreement is executed by the corporation (i.e. the party exercising the option), the affiliate (who now becomes a "licensee") and the vendor, or licensor. The option agreement allows for the definition of the term "computer" to be negotiated between the licensor and each affiliate. The option agreement incorporates the terms of the license which become part of the contract between licensor and licensee (affiliate). The software acceptance process is tied to each implementation. Cancellation for cause may apply to the entire arrangement or a single licensee.
