Form Overview
The Software Development and Distribution Agreement documents a framework for the development of software product in response to customer requirements. The arrangement uses the traditional software development life cycle to structure the joint participation of customer and developer in product development. Customer retains control of the engagement through approval of deliverables associated with each phase of the life cycle. Customer agrees to provide developer with office space. Developer retains ownership of the software intellectual property rights. The Agreement expressly excludes maintenance and training services, as well as software enhancements and upgrades. Customer has a best efforts marketing obligation and broad licensing and distribution rights. Customer agrees not to include competing products in its software portfolio. Customer payment for services rendered by developer is time and material. The arrangement also includes a royalty on all future sales of the software by customer. Developer warrants that the software will perform in accordance with specifications developed by developer and approved by customer as part of the development life cycle.
