The Source Code License favoring the licensor structures a limited arrangement under which the licensee is entitled to use the source code for limited purposes. The source code is defined by referencing a specific software version. The scope of use is limited to internal purposes of licensee, in connection with managing its business operations. The license grant for use of the source code is limited to a specific computer. The License expressly prohibits Licensee from commercializing the source code or any derivatives. The License documents prior source code evaluations by licensee and disclaims all warranties. The License documents the obligation of licensor to provide updates on the source code for object code updates, as released generally to licensor customers. Licensee has the right to modify the source code, and must maintain records of such modifications which are subject to audit by licensor. The license fee is paid in ten equal installments.
