Form Overview
The Hardware Option Agreement favoring buyer provides a framework for multiple equipment purchases over time under terms favoring customer. The specific hardware and any related software being acquired is defined in a supporting schedule A (included). The agreement requires the vendor to sell such equipment to customer, with title passing as of discretionary written acceptance by customer. Vendor is responsible for shipment, delivery and installation of the hardware. The agreement provides customer a sixty-day testing period with payment of the price withheld pending the acceptance date. Vendor represents the equipment to be in good working order on the delivery date and warrants against defects in workmanship. Vendor assumes confidentiality obligations, in connection with customer information, as may be learned by vendor personnel in connection with the transaction. Arbitration applies.
