Form Overview
The Standard Work Order Agreement is a simplified version of the work order format involving a single service definition referencing work orders included in Exhibit A. The Work Order (included) provides a framework for the parties to define the scope of work, deliverables, customer responsibilities, term, schedule and work order date. Under this Agreement, the vendor owns the deliverables which are licensed back to the customer on a non-exclusive basis. Fees are time and material using the vendor's standard published fee schedule. Other generic terms include invoicing, confidentiality and a best efforts warranty. This document reflects many of the terms which have become "standard" in an industry favoring the service provider.
