Form Overview
The Master Services Agreement provides a framework for engaging four types of software related services: (1) software maintenance (i.e. error correction and implementing software updates); (2) customer support, as requested by customer in a "block notice" approved by both parties; (3) consulting services, as defined in a work order approved by both parties; and (4) training services, as defined in a "training order." Exhibits providing a framework for defining requested services are included. Maintenance Services are predefined under the agreement and are initiated by a "service request," which can be oral. The rest of the services must be defined in writing using the appropriate form and approved by the parties. The maintenance fee is a fixed annual sum established at the beginning of the contract. Telephone consultations are handled on a fee escrow basis allowing the vendor to draw from the account as such services are rendered.
