The Employment Agreement favoring developers frames employee-favored restrictions narrowly, defines employee rights and benefits broadly and precisely defines employer technology assets to exclude materials independently developed by employee. The agreement broadly defines the technical activities of developer along with work schedule and location, as well as management reporting responsibilities. Termination by either party requires ten-day notice. Employer may terminate without notice in certain events. Employer salary and bonus obligations are set forth, along with expense reimbursement policies, paid leave benefits and other benefit plans. Noncompete, employee pirating and customer solicitation limitations are restricted to one year after termination. The primary technology asset under this agreement is software, which is defined by referencing the source code and object code thereof (including changes thereto).
