Form Overview
The Technology Joint Venture Agreement establishes a partnership arrangement for the deployment and maintenance of technology assets in creating a network directed at a specific customer base. The proposed network integrates hardware, software and telecommunications access to related content to address the operational and information needs of the target functional uses. The Vendor has ownership of the technology and grants the Customer the right to use the technology. The rights granted to the Customer as a joint venture partner include the right to sublicense the technology to target end-users. Technology enhancement and maintenance responsibilities are allocated to the Vendor partner. The Customer partner retains ownership of the trademark used to promote the service to the target end-user. The Technology ownership provisions distinguish existing technology assets contributed to the Partnership by Vendor and those technology assets developed jointly.
