Form Overview
The Software Maintenance Agreement favoring the licensor/vendor documents a full range of general support services targeted at the software licensed by licensee/customer. The maintenance fee is established by the vendor thirty days in advance of a one-year maintenance term that automatically renews. The maintenance fee covers software error corrections, updates and enhancements, as well as customer training during an initial thirty-day period after software installation. Program modifications are available, but paid on a time and material basis. The services are available only 8:30 a.m. to 5:00 p.m. Eastern Time, Monday through Friday (excluding holidays). The software maintenance warranty parallels the warranty granted under the software license. Modification of the software by customer voids the warranty, as well as vendor service obligations. Title to the enhancements and updates rests with vendor. Customer accepts a contractual obligation to cooperate with vendor servicing efforts.
