Form Overview
The Multi-Facility Maintenance Agreements provides a framework for the Customer to establish a remote Facility as a recipient of maintenance and support services under the Agreement. The option is exercised pursuant to a Support Agreement signed by Customer and Vendor, the form of which is attached as an Exhibit (included). The services include defect resolution, delivery of enhancements and updates (as defined), customer consultations and customization services (as requested). A Maintenance Fee is charged for each facility and paid by the Corporation. Since each facility is owned by the Corporation, the Corporation has the legal authority to execute the Support Agreement adding the Facility (i.e. the Facility need not sign - the Corporation exercising the Option signs for the Facility). Services involving customization under the arrangement are invoiced on a time and material basis. Vendor warrants to keep the Software substantially free from Defects.
