Form Overview
The Hardware Purchase Agreement favoring the buyer provides a framework for buyer acquisition of a computer system (including software and services) under terms favoring buyer. The seller proposal is incorporated by reference. The computer hardware purchased is defined in an Exhibit A (included), with the software referenced in an Exhibit B (included). Seller has responsibility for facility preparation, as defined in an Exhibit C (included). Seller is also responsible for installation. The Agreement provides for a ninety-day acceptance test period with seller obligation to repair within two calendar days. Risk of loss shifts to buyer as of the acceptance date, which is the date the computer is accepted by buyer in writing. The purchase price is paid in two equal installments with the second payment rendered within sixty days after the acceptance date.
