Form Overview
The standard Original Equipment Manufacturer (OEM) Agreement is structured to support distribution of a computer systems product in a defined geographic territory. The distributor is authorized to sublicense the product to end users under specified terms, as provided in an exhibit (included). Promotion is on a best efforts basis and Internet marketing is expressly excluded from distributor's scope of rights. Distributor agrees to promote the product under the prescribed trademark. Distributor pays a fixed fee to the manufacturer for each product sold and, therefore, has the right to resell product to the end user at its own stated license fee. The arrangement is non-exclusive. Distributor is required to maintain complete and accurate books and records on sales which are subject to audit by manufacturer. The product is packaged (pursuant to license arrangement) with distributors own product and resold as part of distributor's total product offering to end users.
