Form Overview
The Online Store Agreement grants subscribers a license to use certain templates provided by Vendor to create a Subscriber website for purposes of selling end-users product over the Internet which is provided by Vendor. The templates are licensed in object code format. The Subscriber website is hosted by Vendor. Subscriber is responsible for the content of the site, subject to the template design criteria established by Subscriber. The Subscriber website is linked to the website of Vendor. Product orders are forwarded to Vendor and processed by credit card. Product price is determined by Subscriber, with profits (Subscriber price less Subscriber cost) deposited to the account of Subscriber by Vendor as payment for orders are received. A noncompete clause applies, as well as termination, warranties and indemnification provisions. The arrangement essentially supports the creation of an online store for Subscriber sale of Vendor product.
