The Confidentiality Agreement for disclosing parties imposes strict confidentiality obligations on the receiving party and maximizes the rights and negotiating leverage of the party disclosing the confidential information. The definition of confidential information is very broad and includes all information identified (orally or in writing) as confidential at the time of disclosure to the receiving party. All disclosures by the receiving party (even to employees, agents, consultants of such receiving party) require the subsequent written approval of the original disclosing party. The confidential information is characterized as a trade secret. Employee pirating restrictions are also imposed. The agreement also limits the scope of use for the confidential information and prohibits exports. The term of the agreement extends to the date of termination notice from either party.
