The Dealer/Agent Agreement is the document used by the dealer (i.e. principal under the Dealer Agreement) to empower third-party agents to market the technology. The Agreement is a three-party arrangement establishing privity of contract between vendor, dealer and agent. Under this framework, the principal empowers the agent to market the technology in a specified territory. Vendor and principal share agent training responsibilities. Vendor retains direct approval authority over advertising materials and the agency relationship. Principal guarantees the performance of agent under the Agreement and is responsible for payment of agent fees. Principal retains the right to market directly in agent's territory.
