Form Overview
The Government Contract Proposal/Teaming Agreement establishes a partnership framework under which two or more parties agree to work together in responding to a Federal Government solicitation for services or technology product. These arrangements typically involve agreement concerning the party with Prime Contract responsibility, and the scope of subcontractor responsiblity and services. Key negotiating issues include the level of drafting responsibility in writing the Proposal to be submitted to the Government, as well as the allocation of work upon contract award. Negotiation responsibilities should also be defined, including participation in proposal briefings, "best and final" offers and the development of alternative proposals. The confidentiality and trade secret status of shared information should also be addressed. Special provisions will apply if any party to the arrangement proposes Government use of existing technology owned by such party. The scope of the Partnership should generally be limited to a specific Government Solicitation or Procurement. The term of the teaming arrangement should be a function of the procurement life cycle, with the relationship starting at the point the business opportunity is identified and ending upon Contract Award.
