Transaction Summary
The Standard Consulting Agreement provides a framework for documenting the relationship between the independent contractor with technology expertise and the corporation in need of ad-hoc advice and support on technology matters. Services are typically defined imprecisely. However, management reporting criteria (including written reports) and discretionary approval rights for the corporation balance the potential for billing abuse and poor performance. These arrangements are also typically subject to abbreviated termination notice periods. Standard restrictions on confidentiality, employee pirating and customer solicitations are also typically included. Billings are usually at an agreed hourly rate with payment of written invoices subject to customer approval.
