The Software License Agreement for standard terms is structured as a one-page summary of a licensing arrangement which incorporates separately stated Terms and Conditions. The Terms and Conditions are not attached to the Agreement. They are maintained separately and shown to the buyer only upon request. Many vendors maintain these terms on their website. The one-page summary requires the parties to negotiate certain key issues including a specification of the software being licensed (e.g. modules, object code, etc), a designation of the computer to be used to run the software (e.g. serial number or configuration definition), the maximum number of users authorized and the facility location of the licensee. The license fee, implementation fee and payment terms are also subject to negotiation. The grant of license language is in the Terms and Conditions and favors the licensor, as do most of the provisions in the standard Terms and Conditions.
