Form Overview
The Multi-Party Software Maintenance Agreement structures an option arrangement allowing the customer corporation to exercise the right to bind separate legal parties as additional customers under the contract. The services rendered to such customers include defect resolution, software updates and telephone consultations. Each customer pays a maintenance fee, as prorated for each applicable maintenance term under the Agreement. The maintenance term extends for one year starting the date the option is exercised for each applicable customer. Only "affiliates" of the customer corporation can be added to the arrangement. Each affiliate is added using a support agreement, the form of which is attached to the Agreement as an exhibit (included). The warranty for the services references industry standards. Customers indemnify vendor in connection with use of the software. Consequential damages are disclaimed and vendor is released from liability for failure to perform because of circumstances beyond its control.
