Form Overview
The Online Corporate Software Agreement establishes a legal framework under which Customer (Service Provider) is licensed by Vendor to provide affiliates (users) with Internet access to the software and data services of Customer (Service Provider). Under this arrangement, the Vendor provides the Software and agrees to online licensing access to the Software by independent users who access the central system controlled by Customer. Each affiliate agrees to the terms of an online Subscriber Agreement, the terms of which are agreed by Vendor and Customer as set forth in an Exhibit (included). Customer is responsible for the service commitment to the affiliate. Vendor is responsible for services to the Customer. The fee structure is transactional and based upon the number of transactions completed by affiliates. This arrangement essentially empowers a traditional licensee of applications software ("customer") to use the applications software to provide services over the Internet. Careful drafting attention should be focused on the definition of affiliate to insure that the license grant does not compete with the core business of vendor.
