Form Overview
The Software Distribution Agreement establishes a framework for distribution of a high-end software product. These rights include copying, distributing and sublicensing Software to end users under pre-defined licensing and maintenance agreements. Distributor covers all costs of marketing. The Agreement also documents a license grant to the source code (including ancillary intellectual property and confidentiality restrictions) for purposes of developing enhancements and performing maintenance for end users. Developer agrees to provide consulting support to distributor. Distributor collects sublicensing fees and remits a royalty to developer. Monthly reports documenting sales activity, software modifications and marketing activities are required. Employee pirating, noncompete and export restrictions apply. Standard warranty limitations and force majeure clauses apply. Standard software licenses and maintenance agreements should be included as Exhibits A and B (not included).
