The Systems Administration Agreement provides a framework for Vendor management of customer software, hardware and network. The Service definition is by Exhibit (included) as completed by Vendor and Customer. Standard maintenance services involving defect resolution and telephone support are also provided. Vendor access to Customer facilities is defined. Intellectual property rights are apportioned by ownership with cross licensing. The service warranty is limited to best efforts.
