Form Overview
The Software Hosting Agreement provides a framework for engaging hosting services. The Agreement relies upon a reference to “hosting” as an industry term of art to define the services being rendered. Routine back-up of all files stored in connection with the services and password access to the Software stored on the system are included, but internet access and third party technologies are expressly excluded from responsibility. Service access is provided 24 hours, 7 days per week with provision for downtime and system failures. A framework is included for documenting fee and payment schedules (Exhibit A). The Agreement provides for consulting services to be performed at time and material rates, but does not include a formal work order framework. Termination of the arrangement by Customer requires thirty days notice. The intellectual property rights for the hosted software accrue to Customer.
