Purchasing intellectual property can be an effective way to acquire and leverage new technologies as a buyer. Due diligence should be structured to meet your business objectives. A predominantly product focus is appropriate if the primary goal is acquisition of technology for subsequent re-packaging or further development. Alternatively, if the primary goal is to leverage into an existing business centered around a core technology, due diligence dictates a more traditional focus on customers and market position, including an assessment of intellectual property assets related to the core technology or product (e.g. trademarks, licenses, distributor contracts).
