Form Overview
The Computer Services Outsourcing Agreement provides a framework for outsourcing the information technology function. The agreement documents in detail five basic services. The computer hardware service obligations include operation of a central processing unit and ancillary equipment. The software services include time-sharing access for customer to centrally located software. User support services include equipment maintenance, system administration and maintenance, user training and documentation services. Consulting services include equipment procurement, programming services and facilities management. Data management services include creation and maintenance of the proposed database, as well as data reporting. Fixed payments [as agreed in Schedule A (not included)] are rendered monthly. Variable payments are a function of time and material billings at agreed rates (also rendered monthly). Employee pirating and noncompete restrictions apply.
